You are granted a non-exclusive, non-transferable license to use such materials solely for your internal business purposes. You may not reproduce, distribute, or create derivative works without our prior written consent.
Fees for services will be outlined in your engagement letter or invoice. Unless otherwise agreed, payments are due within 30 days of the invoice date. Late payments may incur interest at the rate of 1.5% per month or the maximum allowed by law. We reserve the right to suspend services for overdue accounts.
Our website may contain links to third-party websites or services that are not owned or controlled by Tech Legal. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites. You acknowledge and agree that Tech Legal shall not be liable for any damage or loss caused by your use of such sites.
Use of our website or initial consultations does not create an attorney-client relationship. Such a relationship is formed only upon execution of a formal engagement agreement.
Our services and website are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Legal outcomes depend on many factors outside our control. We do not guarantee any specific results from our consulting services.
To the fullest extent permitted by law, Tech Legal and its partners, employees, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use our services; (ii) any conduct or content of any third party; (iii) unauthorized access, use, or alteration of your transmissions or content. In no event shall our aggregate liability exceed the amount you paid us during the twelve months preceding the claim.
You agree to defend, indemnify, and hold harmless Tech Legal and its employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your violation of these Terms or your use of our services.
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including if you breach these Terms. Upon termination, your right to use the services will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or our services shall be resolved through binding arbitration in Geneva, Switzerland, in accordance with the Swiss Rules of International Arbitration. The language of arbitration shall be English.
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
